These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Tailorly ("we," "us," or "our") governing your access to and use of our website, browser extension, mobile applications, and related services (collectively, the "Services").

By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of our Services.

These Terms apply to all users of our Services, including visitors, free users, and paid subscribers. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.

Description of Services

Tailorly provides AI-powered resume optimization and career services, including but not limited to:

• Free ATS resume analyzer and optimization tools
• AI-powered resume generation and enhancement
• Job matching and application tracking
• Career guidance and interview preparation tools
• Browser extensions and mobile applications
• Premium subscription features and unlimited usage plans

Our Services are provided on an "as is" basis and may be modified, updated, or discontinued at our discretion with reasonable notice to users.

User Eligibility

To use our Services, you must:

• Be at least 18 years old or have parental/guardian consent if under 18
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using our Services under applicable laws
• Not be a competitor or using our Services for competitive analysis

We reserve the right to refuse service to any user for any reason at our discretion.

Account Registration and Security

Certain features of our Services require account registration. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password and account credentials secure
• Immediately notify us of any unauthorized account access
• Be responsible for all activities under your account
• Not share your account credentials with others
• Not create multiple accounts for abusive purposes

You are solely responsible for maintaining the confidentiality of your account and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

User Conduct and Prohibited Uses

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:

• Use our Services for any illegal, harmful, or abusive purposes
• Attempt to gain unauthorized access to our systems or networks
• Reverse engineer, decompile, or disassemble our technology
• Copy, modify, or distribute our proprietary algorithms or data
• Use automated tools, bots, or scrapers to access our Services
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm other users or our staff
• Impersonate others or provide false information
• Use our Services to create fake resumes or fraudulent applications
• Violate any applicable laws, regulations, or third-party rights
• Attempt to circumvent usage limits or fair usage policies
• Use our Services in a way that could damage, disable, or impair our infrastructure

Violation of these provisions may result in immediate account termination and potential legal action.

Subscription and Billing

Tailorly offers various subscription plans, including free and paid options. By subscribing to a paid plan, you agree to:

• Automatic billing at the beginning of each billing cycle
• Payment of all applicable fees and taxes
• Continued billing until you cancel your subscription
• Our right to change pricing with 30 days' advance notice
• Use of valid payment methods and accurate billing information

All fees are non-refundable except as expressly stated in our refund policy. Subscription cancellations take effect at the end of the current billing period.

Fair Usage Policy

Our Services are designed for individual job seekers and career professionals. To ensure fair access for all users and prevent system abuse, we implement usage limits and monitoring. Our fair usage policy includes:

Monthly Usage Limits

• Resume Generation: 350 credits per month
• Other Services (Job Match, AI Chat, AI Edit): 350 credits per month
• Credits reset monthly and do not roll over to the next month

Multi-Month Plans

When you purchase a multi-month plan (2-month or 3-month), you receive credits upfront based on the plan duration:

• 2-Month Plan: 700 credits (350 × 2 months) granted immediately
• 3-Month Plan: 1,050 credits (350 × 3 months) granted immediately
• Credits are allocated to your account upon successful payment
• You have full flexibility to use credits across any combination of services

Usage Guidelines and Abuse Prevention

• We monitor usage patterns to detect potential abuse or system exploitation
• Excessive usage that impacts service quality for other users may result in account restrictions
• Accounts found to be engaging in fraudulent activity, credit farming, or system abuse will be immediately terminated
• We reserve the right to modify usage limits with reasonable notice
• Commercial use or resale of our Services is strictly prohibited

User Content and Data

You retain ownership of the content you upload to our Services ("User Content"), including resumes, personal information, and career data. By uploading User Content, you grant us a limited, non-exclusive license to:

• Process, analyze, and optimize your resume data using our AI algorithms
• Store your data securely for the purpose of providing our Services
• Use anonymized, aggregated data for service improvement and analytics
• Display your content within your account for your personal use

You represent and warrant that:

• You own or have rights to all User Content you upload
• Your User Content does not violate any third-party rights
• Your User Content is accurate and not misleading
• You will not upload illegal, harmful, or inappropriate content

We are not responsible for the accuracy, completeness, or quality of User Content. You are solely responsible for backing up your data.

Intellectual Property Rights

All content, features, functionality, algorithms, software, trademarks, service marks, and intellectual property related to our Services ("Our IP") are owned by Tailorly and are protected by copyright, trademark, patent, and other intellectual property laws.

You may not:

• Copy, modify, distribute, or create derivative works of Our IP
• Reverse engineer or attempt to extract our source code
• Use our trademarks without express written permission
• Remove or alter any copyright or proprietary notices

The limited license granted to you to use our Services does not transfer any ownership rights in Our IP to you.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which describes:

• What information we collect and how we use it
• How we protect your personal data
• Your rights regarding your personal information
• Data retention and deletion policies
• International data transfers and compliance

By using our Services, you consent to our data practices as described in our Privacy Policy. We implement industry-standard security measures to protect your data, but no method of transmission or storage is 100% secure.

Disclaimers and Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees that our Services will be uninterrupted, error-free, or secure
• Guarantees regarding the accuracy, reliability, or completeness of our AI analysis
• Guarantees that using our Services will result in job offers, interviews, or employment
• Guarantees that our optimization will work with all ATS systems or employers
• Guarantees regarding the quality or effectiveness of generated content

We do not guarantee that our Services will meet your specific requirements or that any defects will be corrected. You assume all risks associated with using our Services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAILORLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage
• Cost of substitute goods or services
• Any damages arising from your use of our Services
• Any damages resulting from inaccuracies in our AI analysis
• Any damages related to job search outcomes or employment decisions
• Any damages caused by third-party actions or system failures

IN NO EVENT SHALL TAILORLY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Tailorly, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you upload or submit to our Services
• Your violation of applicable laws or regulations
• Any fraudulent or illegal activity conducted through your account

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.

Termination and Account Suspension

Either party may terminate this Agreement at any time. We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms or our acceptable use policies
• Fraudulent, abusive, or illegal activity
• Excessive usage that impacts service quality for other users
• Non-payment of fees or billing disputes
• Requests from law enforcement or government authorities
• Prolonged account inactivity
• Technical or security concerns

Upon termination:

• Your right to use our Services ceases immediately
• We may delete your account and associated data
• Outstanding payments become immediately due
• Sections regarding liability, indemnification, and governing law survive termination

You may terminate your account at any time by contacting our support team or using account settings.

Refund Policy

NO REFUNDS POLICY: Tailorly does not offer refunds under any circumstances, including but not limited to:

• Service outages or technical issues
• Dissatisfaction with service quality or features
• Changes in your job search needs or circumstances
• Failure to achieve desired job search results
• Account termination for any reason
• Unused credits or subscription time
• Early cancellation of multi-month plans

Our Commitment to Service: While we do not provide refunds, we are committed to providing excellent service and will work diligently to resolve any issues you encounter:

• Technical Support: Our support team will assist with any technical problems or service issues
• Service Restoration: We will work to restore service functionality as quickly as possible during outages
• Account Assistance: We will help resolve account-related issues and ensure proper service delivery
• Feature Guidance: Our team will provide guidance on how to best utilize our services

All payments are final and non-refundable. By purchasing our services, you acknowledge and agree to this no-refunds policy. If you have concerns about our service, please contact our support team for assistance.

Changes to Terms

We reserve the right to modify these Terms at any time at our discretion. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Post the revised Terms on our website
• Send email notifications to registered users (when feasible)
• Provide reasonable notice for significant changes

Your continued use of our Services after changes become effective constitutes acceptance of the revised Terms. If you disagree with the changes, you may terminate your account.

Governing Law and Dispute Resolution
